Terms of Service

1. Acceptance of Terms

By accessing or using SimpleNDA ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization.

2. Description of Service

SimpleNDA provides AI-powered contract analysis, risk identification, and negotiation strategy suggestions. The Service is provided "as-is" and analysis results are for informational purposes only and do not constitute legal advice.

3. User Obligations

You agree to: (a) provide accurate account information, (b) maintain the confidentiality of your credentials, (c) use the Service only for lawful purposes, and (d) not reverse-engineer, decompile, or attempt to extract the source code of the Service.

4. Intellectual Property

You retain ownership of all documents you upload. SimpleNDA retains all rights to the Service, AI models, and generated analysis content. You receive a limited, non-exclusive license to use analysis results for your internal business purposes.

5. Limitation of Liability

SimpleNDA's aggregate liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim. In no event shall SimpleNDA be liable for indirect, incidental, or consequential damages.

6. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in San Francisco, California.
